ALERO REFUND AND CANCELLATION POLICY

This Refund and Cancellation Policy ("Policy") applies to subscriptions, setup services, implementation services, additional-domain purchases, add-ons, upgrades, usage-based services, and other paid products or services purchased from AleroCore Technologies through aleroai.ai or another authorized Alero checkout page.

In this Policy, "Alero," "we," "us," and "our" refer to AleroCore Technologies. "Customer," "you," and "your" refer to the individual or organization purchasing an Alero product or service.

Certain consumer protections may apply differently to purchases made primarily for personal, family, or household purposes and purchases made on behalf of a business or organization.

By purchasing an Alero subscription or another paid product or service, you acknowledge and agree to this Policy.

1. Subscription Billing

Alero subscriptions are billed in advance according to the billing interval displayed during checkout, such as monthly or annually.

By completing your purchase, you authorize Alero and its payment processor to charge the payment method you provide for:

  • The selected subscription plan;
  • Any applicable setup or implementation fee;
  • Applicable taxes;
  • Additional domains;
  • Add-on products or services;
  • Approved upgrades;
  • Usage-based charges, where applicable; and
  • Recurring renewal charges until the subscription is canceled.

The applicable price, billing frequency, setup fee, renewal date, renewal terms, and material payment conditions will be presented before the purchase is completed.

2. Automatic Renewal

Unless otherwise stated during checkout, Alero subscriptions automatically renew at the end of each billing period.

Monthly subscriptions ordinarily renew each month on the same calendar date as the initial purchase or on another renewal date clearly disclosed during checkout.

Annual subscriptions ordinarily renew each year on the anniversary of the initial purchase or on another renewal date clearly disclosed during checkout.

If a billing period begins on a date that does not occur in a later month, the renewal may occur on the final calendar day of that month or on another date used by the applicable payment processor and disclosed through the customer account or billing notice.

The payment method on file will be charged automatically unless the subscription is canceled before the applicable renewal charge is processed.

Where required by law, Alero will provide advance notice of an upcoming renewal, price change, or other material subscription change.

You are responsible for maintaining accurate billing and contact information so that renewal, payment, and account notices can be delivered.

3. Cancellation

You may cancel your Alero subscription at any time through an available account-cancellation feature or by contacting Alero at info@alerocore.com.

A cancellation request should include:

  • Your name;
  • Business or organization name;
  • Account email address;
  • Website or registered domain;
  • Subscription plan; and
  • A clear request to cancel the subscription.

Unless otherwise required by law or confirmed by Alero, cancellation becomes effective at the end of the current paid billing period.

After cancellation:

  • You may retain access through the end of the current paid billing period;
  • Your subscription will not renew for another billing period;
  • No additional recurring subscription charge will be made after cancellation becomes effective; and
  • Access to paid features may end when the current billing period expires.

Alero may terminate access earlier when required because of misuse, fraud, security concerns, nonpayment, legal requirements, or another reason authorized under the Terms of Service.

Canceling a subscription does not automatically create a refund for charges already paid.

4. Cancellation Methods

Alero will provide a cancellation method that is reasonably accessible and not unnecessarily difficult, lengthy, confusing, or burdensome.

Customers who enroll online will be provided an online cancellation method where required by applicable law.

Alero will not require a customer to use a materially more burdensome cancellation method than the method reasonably used to begin the subscription.

Alero may take reasonable steps to verify the identity or authority of the person requesting cancellation. Verification procedures will not be used to unreasonably delay or prevent cancellation.

Alero will not require a customer to speak with a sales or retention representative as a condition of canceling where applicable law requires direct online cancellation.

5. Timing of Cancellation Requests

To prevent renewal, a cancellation request must be completed before the renewal charge is processed.

Alero will not impose an advance-notice period longer than permitted by applicable law or the cancellation terms clearly disclosed when the customer subscribed.

Customers should complete cancellation before the renewal date displayed at checkout, in the customer account, or in an applicable renewal notice and should retain the cancellation confirmation.

A cancellation request submitted after a renewal charge has been processed will ordinarily apply to the following billing period and will not automatically result in a refund of the most recent charge.

If a cancellation was properly completed before renewal but a renewal charge was nevertheless processed, Alero will review the charge as a potential billing error.

6. Cancellation Confirmation

After processing a cancellation request, Alero will provide confirmation through email, the customer account, or another durable written method.

The confirmation will identify, where applicable:

  • The date the cancellation was received;
  • The effective cancellation date;
  • The final date of paid access;
  • Whether another payment is scheduled;
  • Any services, features, integrations, or data access that will end; and
  • Any further action required from the customer.

At a minimum, the confirmation will identify the effective cancellation date and whether another recurring renewal charge is scheduled, where that information applies.

Customers should retain the cancellation confirmation for their records. If a customer does not receive confirmation within a reasonable period, the customer should contact Alero promptly to verify that the request was received and processed.

7. Customer-Support Response Standard

Alero will acknowledge cancellation requests, billing-error reports, failed-payment inquiries, and refund requests within a commercially reasonable period.

The time required to investigate and resolve a request may depend on:

  • The nature and complexity of the issue;
  • Whether identity or account ownership must be verified;
  • Whether additional supporting information is required;
  • The payment method used;
  • Payment-processor or financial-institution procedures;
  • The age of the transaction;
  • Whether third-party records must be reviewed; and
  • Applicable legal requirements.

An acknowledgment does not mean that a refund or other requested remedy has been approved. Alero does not guarantee a specific resolution date unless a written agreement or applicable law requires one.

8. Monthly Subscription Fees

Monthly subscription fees are nonrefundable once charged.

When you cancel a monthly subscription, cancellation prevents future renewals but does not ordinarily entitle you to:

  • A refund for the current month;
  • A prorated refund for unused days;
  • A credit for unused questions, capacity, features, or services; or
  • A refund because you did not fully use the service.

You may continue using the applicable paid service through the end of the current billing period, subject to the Terms of Service.

9. Annual Subscription Fees

Annual subscription fees are nonrefundable once charged.

Cancellation of an annual subscription prevents the next annual renewal but does not ordinarily create a full or prorated refund for the remaining portion of the current annual term.

Any different annual-refund right, promotional guarantee, cancellation term, or early-termination right must be expressly stated during checkout or in a separate written agreement authorized by Alero.

10. Setup and Implementation Fees

Setup, onboarding, configuration, installation, integration, migration, customization, domain assignment, and implementation fees are nonrefundable once Alero begins performing the applicable work.

Setup and implementation work may include:

  • Creating or configuring an account;
  • Assigning a Reasoning Bar or widget;
  • Preparing installation code;
  • Registering or validating a domain;
  • Configuring customer information;
  • Connecting third-party systems;
  • Creating workflows;
  • Configuring lead routing;
  • Performing implementation testing;
  • Preparing customer-specific settings;
  • Providing technical assistance; or
  • Reserving implementation resources.

A setup or implementation fee may be refundable when:

1. Alero has not begun the applicable work;

2. The customer submits a cancellation request before work begins;

3. The payment was made in error;

4. A duplicate charge occurred;

5. Alero determines that it cannot provide the purchased implementation; or

6. A refund is required by applicable law.

Once setup or implementation work begins, the fee becomes nonrefundable even if the customer later changes plans, delays implementation, fails to provide required information, decides not to install the service, or discontinues the project.

11. Failure to Deliver the Purchased Service

If Alero determines that it cannot materially provide or activate the purchased service for reasons primarily within Alero’s control, Alero may offer one or more of the following remedies:

  • Additional implementation assistance;
  • A reasonable opportunity to correct the issue;
  • A substitute or comparable service;
  • An account credit;
  • A partial refund; or
  • A full refund of the affected charge.

The appropriate remedy will depend on the nature of the service, the work already performed, the portion of the service successfully delivered, whether the service was activated, the customer’s participation in implementation, the cause of the failure, and applicable law.

This section does not apply when delivery is prevented primarily by customer delay, inaccurate or incomplete customer information, unsupported customer systems, missing permissions, customer website problems, unauthorized modifications, third-party outages, failure to follow implementation instructions, or circumstances outside Alero’s reasonable control.

12. Additional Domains and Add-Ons

Charges for additional domains, premium features, add-ons, integrations, increased usage, support packages, or other supplemental services are nonrefundable once the feature has been activated, assigned, configured, delivered, or made available.

Canceling a recurring add-on prevents future renewal charges but does not ordinarily produce a prorated refund for the current billing period.

13. Upgrades

When you upgrade to a higher-priced plan, Alero may charge the price difference immediately, apply a prorated adjustment, apply an account credit, begin the upgraded billing rate on the next renewal date, or use another billing method disclosed before the upgrade is completed.

Upgrade charges are nonrefundable once the upgraded features have been activated or made available. The billing treatment applicable to an upgrade should be displayed before the customer confirms the change.

14. Downgrades

A plan downgrade ordinarily becomes effective at the beginning of the next billing period.

A downgrade does not ordinarily result in a refund of fees already paid, a prorated refund, a cash payment for unused features, or a retroactive reduction of the current subscription charge.

When a downgrade becomes effective, access to features, usage allowances, domains, integrations, storage, lead-capture services, white-label options, or other benefits associated with the previous plan may be reduced or removed.

You are responsible for preserving information and completing any necessary transition before the downgrade becomes effective.

15. Free Trials, Demonstrations, and Promotional Offers

Alero does not provide a free trial or refund guarantee unless one is expressly stated in writing during checkout or in an authorized promotional offer.

Public demonstrations, limited free questions, previews, beta access, or sample experiences do not create a right to a refund for a later paid purchase.

Promotional credits, discounts, coupons, complimentary periods, and account credits have no cash value, are not redeemable for cash, are nonrefundable, may be subject to expiration dates, and may be revoked if obtained through fraud, abuse, error, or violation of the applicable promotion.

If a promotional offer contains terms that differ from this Policy, the specific written promotional terms will control for that offer.

16. Duplicate Charges and Billing Errors

Alero will review claims involving duplicate charges, incorrect subscription amounts, charges made after a properly processed cancellation, charges applied to the wrong account, unauthorized plan changes, incorrect setup-fee charges, incorrect tax charges, or other identifiable billing errors.

You should report a suspected billing error promptly by contacting info@alerocore.com and include your name, account email address, business name, date and amount of the charge, last four digits of the payment method where appropriate, transaction or invoice number if available, and a description of the suspected error.

Do not send complete payment-card numbers, bank-account credentials, passwords, or other sensitive financial information by email.

If Alero confirms that a charge was made in error, Alero may issue a refund, reversal, correction, or account credit, as appropriate.

17. Unauthorized Charges

If you believe your payment method was used without authorization, contact Alero promptly at info@alerocore.com and contact the applicable bank or payment-card provider.

Alero may require reasonable information to investigate the charge, verify account ownership, protect the account, and prevent further unauthorized activity.

A claim of unauthorized use does not guarantee a refund when the charge was made through an account, device, employee, contractor, administrator, or payment method that the customer authorized or failed to secure.

18. Failed Payments and Past-Due Accounts

If a payment is declined, reversed, disputed, expired, blocked, or otherwise unsuccessful, Alero may retry the payment method, request an updated payment method, send payment reminders, restrict account features, suspend access, disable integrations, pause implementation work, or terminate the subscription.

Alero may provide a reasonable opportunity to correct a failed payment but is not required to continue providing paid services while an account remains past due.

The customer remains responsible for all valid charges incurred before cancellation or termination, including amounts lawfully owed for services already provided, implementation work already performed, usage already incurred, and applicable taxes.

Restoring a suspended account may require payment of all outstanding balances, verification of an active payment method, payment of applicable reactivation, reconnection, or implementation charges where disclosed and permitted, and completion of security or identity-verification procedures.

Alero does not guarantee that prior configurations, data, integrations, leads, records, or account settings will remain available after suspension or termination. A failed payment does not automatically cancel the subscription unless Alero confirms that the subscription has been canceled.

19. Service Interruptions

Temporary interruptions, maintenance, third-party outages, reduced performance, delayed responses, compatibility problems, or isolated technical errors do not automatically qualify for a refund.

Alero may, in its discretion, provide an account credit or another remedy when a material service interruption is directly attributable to Alero, substantially prevents use of the paid service, lasts for a commercially significant period, and is reported within a reasonable period.

Any credit provided for an outage is discretionary unless a written Service Level Agreement or applicable law provides otherwise.

Problems caused by the customer’s website, hosting provider, browser, device, network, internet connection, incorrect installation, customer configuration, unauthorized modification, disconnected or restricted integrations, invalid domains or accounts, customer-supplied information, failure to follow instructions, third-party changes, scheduled maintenance, or circumstances beyond Alero’s reasonable control ordinarily do not qualify for a refund or credit.

20. Failure to Use the Service

Failure to access, install, activate, configure, or use an Alero service does not create a right to a refund.

Customers remain responsible for subscription charges when they do not install the Reasoning Bar, their website is not ready, they fail to provide required information, delay onboarding, do not use available features, fail to train employees or administrators, do not respond to implementation requests, abandon the project, or their business plans or circumstances change.

Alero may make reasonable efforts to assist with onboarding or implementation, but the customer remains responsible for timely participation.

21. Domain and Integration Issues

A refund will not be issued because a customer changes, loses, transfers, or allows a domain to expire; redesigns or takes a website offline; changes hosting providers; removes or alters installation code; experiences changes to a third-party API, permissions, pricing, or functionality; loses a third-party integration; lacks required permissions; or has a connected account restricted or terminated by a third party.

Additional charges may apply for domain changes, reinstallation, migration, reconnection, redevelopment, or additional implementation work.

22. Data Access Following Cancellation

Cancellation of a subscription may result in the loss of access to account information, stored conversations, leads, analytics, configurations, integrations, reports, files, customer records, and other service data.

Before cancellation becomes effective, customers are responsible for exporting or preserving information they are legally authorized to retain and wish to keep.

Alero may retain, delete, de-identify, archive, or restrict access to account information following cancellation in accordance with the Alero Privacy Policy, the applicable customer agreement, legal obligations, security requirements, and established retention practices.

Cancellation does not require Alero to maintain indefinite access to customer data or provide data in a format not ordinarily supported by the service. Where a written customer agreement provides a specific data-export or transition period, that agreement will control.

23. Account Suspension or Termination

Alero may suspend or terminate an account in accordance with its Terms of Service.

A customer is not entitled to a refund when an account is suspended or terminated because of a violation of the Terms of Service, fraud or suspected fraud, abuse or misuse, security threats, unauthorized access, nonpayment, chargeback abuse, refund abuse, unlawful conduct, infringement of third-party rights, attempts to bypass usage limits, or conduct that threatens Alero, its customers, its providers, or its systems.

Nothing in this section limits any refund or remedy that applicable law requires.

24. Refund Requests

To request a refund, contact AleroCore Technologies at info@alerocore.com or through aleroai.ai.

Your request should include your full name, business or organization name, account email address, registered domain, date and amount of the charge, invoice or transaction number if available, the reason for the request, and any supporting information.

Alero may request additional information reasonably necessary to verify the account, transaction, and basis for the request.

Submitting a refund request does not guarantee approval.

25. Time Limit for Refund Requests

Except where a longer period is required by applicable law, refund and billing-error requests should be submitted within 30 calendar days after the applicable charge.

Requests submitted after that period may be denied because of payment-processor limitations, record availability, account history, or the passage of time. This time limit does not reduce any right or remedy that cannot legally be limited.

26. Review of Refund Requests

Alero will review refund requests based on the reason for the request, date of purchase, whether setup or implementation work began, whether the service was activated or used, whether access was provided, the customer’s billing and account history, whether a billing error occurred, whether Alero could provide the purchased service, applicable checkout disclosures, separate written agreements, prior refunds or credits, and applicable law.

Alero may approve a full refund, partial refund, account credit, correction of a billing error, reversal of a duplicate charge, or no refund.

Any discretionary refund or credit provided in one situation does not require Alero to provide the same remedy in another situation.

27. Method and Timing of Approved Refunds

Approved refunds will be returned to the original payment method.

Alero may use another lawful method when the original payment method is unavailable, the payment processor cannot return the funds, the original account has been closed, or another method is agreed upon.

The time required for an approved refund to appear depends on the payment processor, financial institution, payment method, weekends, holidays, and other processing factors outside Alero’s control. Alero does not control how quickly a bank or payment provider posts an approved refund.

28. Account Credits

Alero may offer an account credit instead of a cash refund where appropriate and permitted by law.

Unless otherwise stated, credits may be used only for eligible Alero services, have no cash value, are not transferable, cannot be sold, may expire, cannot be applied to past-due balances unless approved by Alero, and may be forfeited when the account is closed except where applicable law requires otherwise.

A customer will be informed when a proposed resolution is an account credit rather than a refund.

29. Refund Abuse

Alero may deny a discretionary refund, restrict payment methods, suspend purchasing privileges, limit promotional eligibility, or terminate an account where it reasonably determines that a customer has engaged in refund abuse.

Refund abuse may include repeatedly purchasing and canceling services after receiving setup or implementation work;

submitting materially false or misleading claims; requesting refunds for substantially delivered and used services; creating multiple accounts to obtain repeated promotions, credits, trials, discounts, or refunds; combining a refund request with a chargeback for the same transaction; seeking duplicate recovery; misrepresenting cancellation; falsely claiming unauthorized payment; attempting to retain benefits after receiving a refund; or using the refund process to avoid payment for services already provided.

Alero may require repayment of an improperly issued credit or refund where permitted by law.

This section does not limit a customer’s right to dispute a genuine billing error, report unauthorized activity, exercise lawful consumer rights, request a refund required by law, or submit a good-faith complaint regarding service delivery.

30. Chargebacks and Payment Disputes

Customers are encouraged to contact Alero before initiating a chargeback so that Alero has an opportunity to investigate and resolve the issue.

Initiating a chargeback does not automatically cancel a subscription. Unless the subscription is separately canceled, future recurring charges may continue.

Alero may suspend or restrict an account while a chargeback or payment dispute is pending and may provide the payment processor or financial institution with transaction records, account information, checkout disclosures, usage information, communications, implementation records, cancellation records, refund records, and other relevant evidence.

Fraudulent, abusive, duplicate, or repeated chargebacks may result in account termination, restriction of future purchases, and collection of amounts lawfully owed. Nothing in this section prevents a customer from exercising lawful rights through a financial institution or payment provider.

31. Changes in Pricing

Alero may change subscription prices, setup fees, add-on prices, usage charges, or other fees.

Where required, customers will receive advance notice before a new price applies to a future renewal. Continuing the subscription after the effective date of a properly disclosed price change constitutes acceptance of the new price to the extent permitted by law.

A price reduction, promotion, or discount introduced after a customer’s purchase does not create a right to a retroactive refund, adjustment, or credit.

32. Taxes and Government Charges

Fees displayed by Alero may not include applicable taxes unless expressly stated.

Taxes, assessments, duties, or government charges collected and remitted may be nonrefundable except where the charge was collected in error, the applicable taxing authority permits a refund, or applicable law requires reimbursement.

Alero may require documentation before correcting or refunding a tax-related charge.

33. Purchases Through Third Parties

When an Alero product or subscription is purchased through an authorized reseller, marketplace, app store, payment partner, or another third party, the third party’s billing, cancellation, and refund procedures may apply.

Alero may be unable to issue a direct refund for a payment collected and controlled by another party. Customers may need to submit their request directly to the third party that processed the purchase.

34. Exceptional Circumstances

Alero may consider a discretionary refund or credit in exceptional circumstances, including when Alero charged the customer incorrectly, a duplicate payment occurred, Alero could not deliver the purchased service, a significant implementation failure was directly attributable to Alero, a customer was charged after a properly completed cancellation, a payment was processed because of an Alero system error, or fairness and the circumstances support an exception.

Discretionary exceptions are evaluated individually and do not modify this Policy for other customers or transactions.

35. No Waiver of Legal Rights

Nothing in this Policy is intended to waive, restrict, disclaim, or eliminate any refund, cancellation, automatic-renewal, consumer-protection, or other right that cannot legally be waived.

Where applicable law gives a customer rights greater than those stated in this Policy, the applicable legal requirement will control.

If any provision of this Policy is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law, and the remaining provisions will remain in effect.

36. Relationship to Other Agreements

This Policy supplements Alero’s Terms of Service, Privacy Policy, Website and Artificial Intelligence Disclaimer, Model Training and Improvement Policy, checkout disclosures, order forms, subscription agreements, customer agreements, and other applicable written terms.

If a signed customer agreement, order form, or authorized promotional offer expressly conflicts with this Policy, the more specific written term will control for the applicable purchase.

37. Changes to This Policy

Alero may update this Policy from time to time.

Material changes will apply prospectively unless applicable law permits or requires otherwise. The “Last Updated” date identifies the most recent published version.

A change to this Policy will not retroactively eliminate a refund or cancellation right that already arose under applicable law or an applicable written agreement.
